Important Information and How To Apply For Shares
O Merlin Entertainments has announced its intention to conduct an initial public offering ("IPO") and Traders Own is offering clients the opportunity to subscribe for shares in the IPO

O You must ensure you have sufficient cleared funds available when you make your subscription request.
O If you hold a Stockbroking Account with Traders Own Stockbroking, you can make your subscription request by logging into your account and using the secure message box. Access your Sharedealing Mailbox by clicking on the 'Sharedealing' link on the orange toolbar above. If you do not have sufficient funds available in your account your order may be cancelled so please ensure you fund your account via the debitcard option.

O Subscription amounts will be treated as Client Money subject to the FCA's Client Money Regulations. Credit interest will not be paid on any subscription amount.
O You will not pay a purchase commission or stamp duty on this IPO subscription. Instead, we will receive a commission payment of 1% from the issuer.
O You should not subscribe for any shares in Merlin Entertainments except on the basis of the Prospectus when published. The Prospectus must be read in full, in particular the risk factors contained therein, before any application is made.

The minimum investment value for this IPO is £1,000. There is no maximum initial investment value.
If you are investing from within your Traders Own Stocks & Shares ISA account, you may only invest up to your current available annual ISA subscription limit. The current annual limit is £11,520. Please note that tax laws may change
To the best of our knowledge the stock is eligible to be held in an ISA. However this is not guaranteed as we will not have the full details until the stock is fully listed. In the event that the stock isn't qualifying for ISA investment we will contact you and you will then have 30 days to remove the stock from your ISA without penalty.

What will be the price of the shares?
The price of the shares will not be determined until after the Offer closes, and so you will not know the exact price of the shares when you apply. This means that, when you apply for shares, you will be asked to state the amount of money you wish to invest rather than the number of shares you wish to buy.
How many shares can I apply for?
You will be told the amounts which you can apply to invest at the time of application.
What is the minimum application amount?
The minimum application amount will be £1,000.
What is the maximum application amount?
There will be no maximum application amount.
Will there be any incentives for investors, such as bonus shares or discounts?
Yes, Merlin Entertainments will be offering a Special Discount to shareholders to be used at their attractions (Link to the Shareholder Special Discount document opposite).
How much of Merlin Entertainments’ share capital is being offered for sale?
The expected amount of share capital being offered for sale will be announced when the Offer starts and will be set out in the prospectus (Link to the Prospectus document opposite)
What is the prospectus?
The prospectus is the document on the basis of which shares in Merlin Entertainments will be offered for sale. It will include information about Merlin Entertainments and the terms on which the shares are being sold. Decisions to invest in Merlin Entertainments shares should be made after reading the prospectus. The prospectus will be published on this page when available.

Conditional dealings will commence from 8:00am on Tuesday, 12th November 2013 with unconditional trading commencing from Friday, 15th November 2013.

How long will I have to apply for shares?
The closing deadline to subscribe for shares in the Merlin Entertainments Share Offer is 5pm on Thursday, 7th November 2013.
How can I decide how many shares to apply for if I don’t know the price?
If you apply you will need to state how much money you would like to invest rather than apply for a fixed number of shares.
Can I put a limit on the price per share I pay when I apply?
When will I need to pay for the shares?
The full price of the shares must be paid on application.
Will I receive all of the shares I apply for?
Not necessarily. If there is heavy demand for the shares, applicants may not receive all the shares they applied for, and some may not receive any at all. If you are not allocated all or any of the shares you applied for, the appropriate amount of money will be returned to you.
How many shares will I get if the Offer is oversubscribed?
There will be some information on the allocation of shares in the prospectus when it is published. However, the final basis of allocation of shares will only be decided once the Offer has closed. There is no guarantee that every applicant will receive shares.
Can I make more than one application?
No. You may apply only once for your own benefit in the Retail Offer, which includes applications made through Intermediaries.
Can people located outside the UK apply for shares?
No, people located outside the UK, the Channel Islands or the Isle of Man may not apply through an Intermediary.
Can foreign nationals/citizens living in the UK apply for shares?
Yes, a foreign national can apply for shares in the Retail Offer provided that there is no law or regulation in their country of nationality that prevents them from doing so. If you are in any doubt about your legal position you should consult an appropriate legal advisor.
Can I apply for my shares to be put directly into an ISA?
If I don’t receive all the shares I applied for, how will you refund (some) of my money?
Any monies deposited into your account for the offer but not used will remain on your account for you to invest elsewhere or withdraw.
Will I get interest on any money returned to me?
Will I have to pay any stamp duty to purchase shares in the Offer?
Is tax payable on dividends?
Dividends are treated as paid net of basic rate income tax. If you are a basic rate taxpayer you will not have to pay any further tax. If you pay higher rate tax (currently 40%) there will be additional income tax to pay. If you are in any doubt about your tax position you should consult an appropriate financial adviser.
The value of your investments can go down as well as up. You may not get back all the funds you invest. Tax treatment depends on the individual circumstances of each client and may be subject to change in future.
